Senior Corporate Governance Specialist (Hybrid)

We offer a hybrid 3-2 work schedule (three days in the office, two days of teleworking) to accommodate the need for flexibility.

Job Summary
This role is responsible for providing support to management on corporate governance matters, including:
- Conducting research and analysis on corporate governance matters and preparing recommendations and presentations for management and the Dominion Energy Board of Directors
- Monitoring compliance with New York Stock Exchange, Securities and Exchange Commission and Sarbanes-Oxley governance requirements as well as Dominion Energy's Corporate Governance Guidelines, Committee Charters and other Board governance policies
- Preparing Securities and Exchange Commission (SEC) insider trading filings for the Board of Directors and designated executive officers (Section 16 reports) and other certain SEC filings.
- Preparing New York Stock Exchange (NYSE) filings, as they relate to the Corporate Secretary's responsibilities, to include ensuring: appropriate communication with legal services, treasury and accounting departments, as needed to comply with NYSE regulations, including preparation and filing Listing and Delisting Applications; appropriate communication with internal departments prior to the filing of press releases with the NYSE, including notification of acceptance; and maintenance of corporate governance data and compliance with corporate governance guidelines via the NYSEs electronic portal.
- Providing support for Dominion Energy, Inc. Board of Directors and Committee meetings.
- Assisting with the preparation of Dominion's Proxy Statement, including coordination of assignments and reporting timetable, drafting significant portions of the report, reviewing the report for compliance with NYSE and SEC requirements, tracking shareholder proposals received and researching/developing Dominion's opposing statements.
- Providing support for internal management committee governance documents and meetings.
- Maintenance of the Governance page on Dominion's corporate website.
- Support the preparation for Dominion Energy’s Annual Meeting of Shareholders
Required Knowledge, Skills, Abilities & Experience
5+ years of relevant exempt experience in directly related field. Note: A Master's degree will count as one year of experience. A partial year of six months or more will be rounded up to one year of experience.
Specific knowledge, skills, abilities and experience include:
- Demonstrated experience in researching and understanding regulatory requirements
- Familiarity or experience with SEC and NYSE regulations and other federal and state corporate law/codes and standards or regulations
- Demonstrated interpersonal and communications skills, both written and verbal
- High level of aptitude for utilization of various computer applications, including Word, Excel and Power Point
- Demonstrated organizational and work processes skills relating to prioritizing and multi-tasking
- Ability to communicate across all levels of the organization, including executives
- Ability to analyze information and make sound decisions
- Knowledge of or experience with financial reporting helpful
- Independent decision-making expertise
- Demonstrates ability to establish and maintain a high level of trust and confidence, especially in handling confidential matters.
Education Requirements
Bachelor's Degree or an equivalent combination of education and demonstrated related experience may be accepted in lieu of preferred level of education.
